Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using Red Volcano's Products operated by Red Volcano Ltd ("us", "we", or "our"), which includes the main website (https://www.redvolcano.uk) and the following subdomains (the "Services"): - App Discovery website: https://apps.redvolcano.uk - CTV Discovery website: https://ctv.redvolcano.uk - Web Discovery website: https://magma.redvolcano.uk Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. Use of our public website at www.redvolcano.io — including the public data directory and the blog — is governed separately by our Website Terms of Use.

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Depending on the plan you select, you will be billed either monthly or in advance for the full subscription term. Each Product subscription runs for a fixed term of 6 or 12 months, beginning from the date of activation. Your subscription is a committed term: it cannot be cancelled part-way through a term, and fees for the full term remain payable. To prevent your subscription renewing into a further term, you must give at least 30 days' written notice of cancellation before your renewal date (see "Contract Renewal Terms"). Subscription pricing depends on the plan length and payment schedule selected: (i) 6-month plans are charged at the standard rate; (ii) 12-month plans paid monthly receive a 10% discount on the standard rate; (iii) 12-month plans paid in advance receive a 20% discount on the standard rate. Additional seats beyond tier limits are not permitted unless the appropriate tier is purchased or an upgrade is made. Red Volcano Ltd reserves the right to enforce these limits strictly. A valid payment method, including credit/debit card, is required to process the payment for your Subscription. You shall provide Red Volcano Ltd with accurate and complete billing information including full business name, address, tax number, email address and a valid payment method. By submitting such payment information, you automatically authorise Red Volcano Ltd to charge all Subscription fees incurred through your account to any such payment method. All fees quoted exclude value added tax (VAT), sales tax and any other applicable taxes. You will be responsible for paying any applicable taxes. Red Volcano Ltd will charge VAT on top of quoted prices where the place of supply of services is in the United Kingdom. Should automatic billing fail to occur for any reason, Red Volcano Ltd will retry the payment method 3 times before issuing an electronic invoice indicating that you must proceed manually, within 7 days of invoice issuance. All prices are quoted in USD. Customers may request billing in GBP or EUR, subject to exchange rates determined by Red Volcano Ltd at the time of billing. Red Volcano Ltd maintains compliance with applicable Payment Card Industry Data Security Standards (PCI DSS) to ensure secure processing of payment information.

Subscriptions are provided solely for the internal business use of the subscribing customer. Access to the Service is limited to named individual users who are employees of the customer, unless Red Volcano Ltd has agreed otherwise in writing. Customers may not provide access to the Service, or make data obtained from the Service available, to any third party, contractor, consultant, agency, affiliate, customer, client, or other external party without Red Volcano Ltd's prior written consent. Where Red Volcano Ltd approves access by a third-party contractor, such access is permitted only for work carried out exclusively for the subscribing customer and only for the duration of that engagement. The contractor may not use the Service or any data obtained from the Service for any other customer, client, project, commercial purpose, research activity, outreach activity, or service offering. Third-party research providers, consultants, agencies, outsourced business development providers, publisher outreach providers, or similar service providers must maintain their own subscription unless Red Volcano Ltd agrees otherwise in writing. Customers are responsible for all acts and omissions of their authorised users and any third parties who access the Service through their account. Red Volcano Ltd may suspend or terminate access where it reasonably believes that account access or data is being shared, resold, reused, or exploited outside the scope of the customer's subscription.

Red Volcano Ltd provides customer support only to the subscribing customer and its approved account administrators. Red Volcano Ltd is not obliged to provide support, data exports, reports, training, or other assistance directly to third-party contractors, consultants, agencies, or other external users unless expressly agreed in writing.

Data obtained from the Service may be used only by the subscribing customer for its own internal business purposes. Customers and users may not copy, export, scrape, reproduce, redistribute, publish, sublicense, sell, transfer, make available, or otherwise exploit data from the Service for the benefit of any third party, except with Red Volcano Ltd's prior written consent.

Subscriptions are available in two lengths: 6 months and 12 months. At the end of your initial term, your subscription will automatically renew for a further term of the same length (6 or 12 months) on the same terms and conditions that applied to your previous term, unless you have given at least 30 days' written notice of cancellation before the renewal date. Each renewed term is itself a committed 6 or 12-month term on the same basis as your initial term, and will continue to renew automatically at the end of each term unless you give at least 30 days' written notice of cancellation before the relevant renewal date. Cancellation notices must be sent in writing to accounts@redvolcano.uk.

Red Volcano Ltd may modify the Subscription fees from time to time. Any change to the Subscription fees will only take effect at your next renewal and will apply to the renewed term. Fees will not change part-way through your current 6 or 12-month term. In addition, an automatic 5% increase will apply to your Subscription fees at the first renewal following each 12-month anniversary of your Subscription Start Date, without separate notice. Red Volcano Ltd will provide at least thirty (30) days' prior notice of any change to Subscription fees other than the automatic annual 5% increase. If you do not wish to accept a fee change, you may give at least 30 days' written notice of cancellation before your renewal date to prevent your subscription renewing at the revised fee. Your continued use of the Service after a fee change takes effect at renewal constitutes your agreement to pay the modified Subscription fee amount.

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account. You agree not to use bots or other methods of automated crawling to collect our data. You agree not to resell our data. Accounts deemed to breach these terms may be deleted with no notice and no refund provided.

Except when required by law, paid Subscription fees are non-refundable.

Our Service may contain links to third-party websites or services that are not owned or controlled by Red Volcano Ltd. Red Volcano Ltd has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Red Volcano Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. You may prevent your subscription from renewing by giving at least 30 days' written notice of cancellation before your renewal date, sent to accounts@redvolcano.uk. Because each term is a committed 6 or 12-month term, cancellation does not take effect part-way through a term and does not release you from payment obligations for the remainder of the then-current term. A valid cancellation notice will take effect at the end of the then-current term.

You agree to defend, indemnify and hold harmless Red Volcano Ltd and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

In no event shall Red Volcano Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Red Volcano Ltd, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Without limiting the generality of the foregoing and notwithstanding any other provision of these terms, under no circumstances will Red Volcano Ltd ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from, connected with, or relating to your use of the Service, these Terms, the subject matter of these Terms, the termination of these Terms or otherwise, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including without limitation gross negligence and fundamental breach) by Red Volcano Ltd or any person for whom Red Volcano Ltd is responsible, and even if Red Volcano Ltd has been advised of the possibility of such loss or damage being incurred.

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
